Terms of Service

These Terms of Service ("Terms") govern your use of PromoCutter, an Adobe Premiere Pro plugin ("Plugin") developed and owned by Mr. Butterworth’s, LLC. (“Mr.B’s,” "we," "us," or "our"). By installing or using PromoCutter, you agree to be bound by these Terms. If you do not agree, do not install or use the Plugin.

1. Authorized Use

PromoCutter is proprietary software developed users and or customers ("Authorized Users") sold through subscriptions via Adobe’s Creative Cloud. Specialized customers may be allowed to use for internal purposes. Any other use is prohibited.

2. Ownership and Intellectual Property

PromoCutter, including all associated software, algorithms, methodologies, and documentation, is the exclusive proprietary property of Mr. Butterworths, LLC. All rights, title, and interest in and to the Plugin — including all intellectual property rights — are and shall remain with Mr. B’s.

PromoCutter is a trademark of Mr. B’s. Nothing in these Terms grants you any right to use Mr. B’s, service marks, trade names, logos, or other brand identifiers outside of your authorized internal use of the Plugin.

3. Restrictions

You may not, and may not permit any third party to:

• Copy, reproduce, distribute, or make the Plugin available to any person outside of Authorized Users or Authorized Usage.

• Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying methods of the Plugin

• Modify, translate, adapt, or create derivative works based upon the Plugin

• Remove, alter, or obscure any proprietary notices, labels, or marks on the Plugin

• Use the Plugin for any purpose other than authorized business operations

• Transfer, sublicense, rent, lease, or otherwise assign your rights to access the Plugin

4. Confidentiality

The Plugin, including its design, functionality, and implementation, constitutes confidential and proprietary information of Mr. B’s. You agree to maintain the confidentiality of the Plugin and not to disclose any details of its operation, design, or implementation to any third party without prior written authorization from Mr. B’s.

5. No Warranty

PromoCutter IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. MR. BUTTERWORTH’S, LLC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MR. B’S DOES NOT WARRANT THAT THE PLUGIN WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.

PromoCutter is designed to assist editors with initial cutdown drafts. All output should be reviewed and refined by a qualified editor before broadcast use. Mr. B’s makes no guarantee regarding the editorial quality, TRT accuracy, or suitability of any output produced by the Plugin for any specific broadcast standard or purpose.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MR. B’s BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE PROMOCUTTER, EVEN IF MR. B’S HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Third-Party Software

PromoCutter incorporates certain open-source software components, each subject to its own license terms. The inclusion of such components does not grant you any rights beyond those described in these Terms with respect to the Plugin as a whole. Mr. B’s makes no representations or warranties with respect to any third-party components.

8. Adobe Platform

Your use of Adobe Premiere Pro and the Adobe Creative Cloud platform is governed by separate agreements with Adobe Systems Incorporated. These Terms do not modify, expand, or limit any rights or obligations you have under your agreements with Adobe.

9. Termination

Mr. B’s may terminate your access to PromoCutter at any time, with or without notice, if you violate these Terms or your employment or contractor relationship with Mr. B’s ends. Upon termination, you must immediately cease all use of the Plugin and delete all copies in your possession.

10. Modifications

Mr. B’s reserves the right to modify these Terms at any time. Updated Terms will be distributed with new versions of the Plugin. Continued use of PromoCutter following distribution of updated Terms constitutes acceptance of the revised terms.

11. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Atlanta, Georgia.
